These Terms and Conditions govern your use of the despicion.com website and the commercial cleaning services provided by AMC Cleaning Pty Ltd (ABN registered in Australia), trading as Despicion. By accessing this website or engaging our services, you agree to be bound by these Terms and Conditions in their entirety. If you do not agree with any part of these terms, you must not use our website or services.

Acceptance of Terms

By using this website, submitting an enquiry through our contact form, or entering into a service agreement with AMC Cleaning Pty Ltd, you confirm that you have read, understood, and agree to these Terms and Conditions. These terms constitute a legally binding agreement between you (whether personally or on behalf of a business entity) and AMC Cleaning Pty Ltd.

We reserve the right to amend these Terms and Conditions at any time. Changes will take effect immediately upon being published on this page. Your continued use of the website or our services after any amendments have been made will constitute your acceptance of those changes. It is your responsibility to review these terms periodically.

Services Description

Despicion provides commercial cleaning services to businesses, organisations, and property managers throughout Australia. Our services include, but are not limited to, office cleaning, retail space cleaning, warehouse and industrial cleaning, end-of-lease cleaning, carpet and upholstery cleaning, window cleaning, high-pressure washing, and specialised sanitation services.

The specific scope of cleaning services, including frequency, areas to be cleaned, and any particular requirements, will be outlined in a written service agreement or quotation provided to you prior to commencement of work. Any verbal representations or promises made by our staff that are not included in the written agreement do not form part of the contract.

We reserve the right to subcontract any part of our services to qualified third-party cleaning professionals. In such cases, AMC Cleaning Pty Ltd remains responsible for the quality and standard of work delivered under the service agreement.

Quotations and Estimates

All quotations provided by Despicion are valid for a period of 30 days from the date of issue unless otherwise stated in writing. Quotations are based on the information provided by the client at the time of enquiry and the conditions observed during any site inspection conducted by our team.

Where a quotation has been provided based on information supplied by the client without a site inspection, we reserve the right to adjust the quoted price if the actual conditions differ materially from those described. In such cases, we will notify you of any price adjustment before commencing work and obtain your written approval to proceed.

Estimates provided for ad hoc or one-off cleaning tasks are indicative only and may vary depending on the actual time and resources required to complete the work. The final charge will reflect the actual scope of work performed and will be communicated to you upon completion.

Payment Terms

Unless otherwise agreed in writing, invoices for recurring cleaning services are issued on a monthly basis and are payable within 14 days of the invoice date. Invoices for one-off or ad hoc services are payable within 7 days of the invoice date.

All prices quoted are in Australian dollars and are exclusive of GST unless expressly stated otherwise. GST will be applied in accordance with the A New Tax System (Goods and Services Tax) Act 1999 (Cth).

Late payments may attract interest at a rate of 2% per month on the outstanding balance, calculated from the due date until the date of payment. AMC Cleaning Pty Ltd reserves the right to suspend or terminate services if invoices remain unpaid for more than 30 days past the due date. Any costs incurred by AMC Cleaning Pty Ltd in recovering overdue payments, including debt collection fees and legal costs, will be payable by the client.

Limitation of Liability

AMC Cleaning Pty Ltd will perform all cleaning services with reasonable care and skill in accordance with industry standards. However, to the maximum extent permitted by Australian law, our total liability for any claim arising out of or in connection with our services is limited to the total amount paid by the client for the specific service giving rise to the claim.

We are not liable for any indirect, incidental, special, or consequential damages, including but not limited to loss of profits, loss of business, or damage to reputation, arising from or in connection with our services or these Terms and Conditions.

AMC Cleaning Pty Ltd will not be liable for damage to items or surfaces that are in a pre-existing state of disrepair, are inherently fragile, or have not been disclosed to us prior to the commencement of cleaning. Clients are responsible for securing or removing valuable, fragile, or irreplaceable items from the cleaning area before our team arrives.

Nothing in these Terms and Conditions excludes, restricts, or modifies any consumer guarantee, right, or remedy conferred on you by the Australian Consumer Law (Schedule 2 of the Competition and Consumer Act 2010) or any other applicable law that cannot be excluded, restricted, or modified by agreement.

Intellectual Property

All content on the despicion.com website, including but not limited to text, images, graphics, logos, icons, videos, and software, is the property of AMC Cleaning Pty Ltd or its licensors and is protected by Australian and international copyright, trademark, and other intellectual property laws.

You may view and print pages from this website for your own personal, non-commercial use, provided that you do not modify the content and you retain all copyright and proprietary notices. You may not reproduce, distribute, display, sell, lease, transmit, create derivative works from, translate, modify, reverse-engineer, disassemble, decompile, or otherwise exploit any portion of this website or its content without our prior written consent.

Termination of Services

Either party may terminate a recurring service agreement by providing 30 days written notice to the other party, unless a different notice period has been agreed upon in the service agreement. AMC Cleaning Pty Ltd may terminate services immediately if the client breaches any material term of the service agreement, including failure to make payments when due.

Upon termination, the client is responsible for payment of all services rendered up to the date of termination, including any costs incurred by AMC Cleaning Pty Ltd in connection with the early termination where applicable.

Governing Law

These Terms and Conditions are governed by and construed in accordance with the laws of the Commonwealth of Australia and the State of New South Wales. Any dispute arising out of or in connection with these terms shall be subject to the exclusive jurisdiction of the courts of New South Wales, Australia.

If any provision of these Terms and Conditions is found to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions will continue in full force and effect. The failure of AMC Cleaning Pty Ltd to exercise or enforce any right or provision of these terms shall not constitute a waiver of that right or provision.
